Shop Terms: Exclusive AI Models and Packs

1. About These Shop Terms

  • 1.1 These Shop Terms apply when you buy an Exclusive AI Model, a Launch Kit, a Pack or any other item in the AIGNCY Studio Shop (the "Shop"). They are an addition to the AIGNCY Studio Terms of Service, Privacy Policy and Refund & Cancellation Policy (together, the "Terms of Service"), which also apply. If these Shop Terms and the Terms of Service conflict on a Shop purchase, these Shop Terms control.
  • 1.2 The Shop is operated by AIGNCY, LLC ("AIGNCY", "we", "us" or "our"). "You" means the person who buys.
  • 1.3 You must accept these Shop Terms before every Shop purchase. If you do not agree, do not buy.

2. Definitions

  • "Character": the fictional, AI-generated person sold as an Exclusive AI Model, including her name, face, likeness, appearance, voice (if any), persona and any description we give her.
  • "Exclusive AI Model" or "1 of 1": a Character that AIGNCY offers for sale to one buyer only.
  • "Delivered Assets": the images, videos, voice clips, reference set, captions and other files delivered to your account with a purchase, including Launch Kit and Pack content.
  • "Launch Kit": a bundle of Delivered Assets sold together with an Exclusive AI Model.
  • "Pack": a set of scenes or shots that Studio generates with an AI model in your account after you buy it.
  • "Your Content": images, videos and other content you generate in Studio using a Character, other than the Delivered Assets themselves.
  • "Underlying Technology": the AI models, model weights, prompts, reference images, training data, pipelines, software, templates and know-how AIGNCY uses to create, sell and run Characters and Packs.
  • "Similar Face": a face that a reasonable person might think looks like a Character, whether made by chance, by another AI tool, by another user, or by anyone else.
  • "Delivery": the moment a purchased item appears in your account (for example, the Character's AI model is added to your AI models, or a Pack's folder is created in your Vault). It happens after your payment is confirmed.

3. What You Buy: a Licence, Not Ownership

  • 3.1 Licence. When your payment is confirmed, AIGNCY grants you a licence to use the Character and the Delivered Assets, as described in this section, for as long as you comply with these Shop Terms and the Terms of Service. The licence is exclusive for Exclusive AI Models, in the sense set out in section 4; worldwide; perpetual, subject to termination under section 10; non-transferable and non-sublicensable; and for lawful personal and commercial use, including running social media accounts featuring the Character and earning money from them, within the rules in section 5.
  • 3.2 What AIGNCY keeps. AIGNCY and its licensors keep all rights, title and interest in the Character, the Delivered Assets and the Underlying Technology, including all intellectual property rights. Nothing in these Shop Terms transfers ownership of any of them to you. All rights not expressly granted to you are reserved.
  • 3.3 Your Content. As the Terms of Service say, you own Your Content as between you and AIGNCY. Your Content may contain the Character's likeness, which stays licensed, not owned. If your licence ends under section 10, your right to use the Character's likeness in Your Content ends too, unless we tell you otherwise in writing.
  • 3.4 Packs. A Pack is generated with an AI model in your account. You may use the generated shots as Your Content. The Pack's templates, scenes, prompts and designs remain AIGNCY's Underlying Technology.

4. What "1 of 1" Means, and What It Does Not

  • 4.1 Our promise. For an Exclusive AI Model, AIGNCY promises that it will not sell, license or give that Character to anyone else in the Shop, during or after your licence, including if your purchase is later refunded or reversed.
  • 4.2 What we do not promise. AI-generated faces can look alike. You understand and agree that AIGNCY does not and cannot guarantee that no Similar Face exists or will ever exist anywhere, including faces made by other AI tools, other people, other Studio users (with their own photos or their own generated models), or by chance; that AIGNCY checks Exclusive AI Models against its own Shop catalogue before sale, but this check is a business safeguard, not a guarantee, and does not create a duty to you; that AIGNCY has no duty to monitor, find, report or act against Similar Faces made by others; and that the existence of a Similar Face is not a breach of these Shop Terms, a defect, or a reason for a refund.
  • 4.3 Your only remedy. If AIGNCY itself sells or licenses the same Character to someone else in breach of section 4.1, your only remedy is, at AIGNCY's choice, (a) AIGNCY stopping the other sale, or (b) a refund of the price you paid for that Character.

5. How You May Not Use a Character

5.1 You must not use a Character, the Delivered Assets or Your Content to make, post or support:

  • sexually explicit content, nudity, or sexual services or solicitation, on any platform, including "adult" or subscription platforms;
  • anything that depicts, suggests or could reasonably be read as a person under 18, including through styling, props, body, setting, captions or role-play;
  • claims, or content designed to make people believe, that the Character is a real person, or that content shows a real person or a real event, in a way that misleads people;
  • impersonation of, or association with, any real person, brand or public figure, or any suggestion that a real person endorses you;
  • defamation, harassment, bullying, hate, threats, or content targeting a real person;
  • scams, fraud, fake giveaways, romance or "catfish" schemes, phishing, investment or crypto promotions, or any deceptive selling;
  • illegal products, services or activity, or anything that breaks a platform's rules.

5.2 AI labels

You must label Your Content as AI-generated wherever the law or a platform's rules require it. You must not remove, hide or alter any AI label, Content Credentials (C2PA) or other provenance information in Delivered Assets or Your Content where the law or a platform rule requires it, including with CLEAN-1 or any other tool.

5.3 No competing use

You must not use a Character, Delivered Assets or Your Content to train, fine-tune, evaluate or build any AI model, dataset or product that competes with Studio, or to recreate the Character outside Studio for resale.

5.4 Platform rules are your responsibility

You alone are responsible for following the terms, community guidelines, disclosure rules and advertising rules of every platform you post on, and every law that applies to you, including advertising disclosure (such as #ad) and consumer protection law.

5.5 Our right to act

If we believe, acting reasonably, that you have broken this section, we may remove the Character from your account, disable Delivered Assets, require you to take down content, and end your licence under section 10, without a refund.

6. Resale and Transfers

  • 6.1 Shop items cannot be resold, traded, gifted, moved to another account, or exchanged for money, as the Terms of Service already say.
  • 6.2 Any attempt to sell, transfer or sublicense a Character without our written consent is void and ends your licence under section 10.

7. Prices, Payment and Delivery

  • 7.1 Prices are shown in US dollars and may include or exclude tax as shown at checkout. Payment is processed by Stripe.
  • 7.2 An Exclusive AI Model is reserved for you while you check out. If your payment is not completed in time, the reservation ends and someone else may buy her.
  • 7.3 Delivery happens only after your payment is confirmed. Shop images shown before purchase may be watermarked or reduced in size; the Delivered Assets are the version delivered to your account.
  • 7.4 Prices change. We may change prices, run offers (including a daily discounted Pack) and end offers at any time. A price change or a later offer does not entitle you to a refund, credit or price adjustment for an earlier purchase.
  • 7.5 Packs take time. A Pack is generated after purchase and may take time to finish. Results are AI-generated and vary. Each shot includes one free redo; further redos cost credits at normal prices.

8. All Sales Final; Refunds

  • 8.1 Digital goods, delivered immediately. Shop items are digital content delivered to your account straight after payment.
  • 8.2 Waiver of withdrawal rights (where they apply). At checkout you will be asked to confirm that you want your purchase delivered immediately and that you understand that once it is delivered you lose any right to cancel or withdraw and get a refund, except as these Shop Terms allow. If you are a consumer in a country that gives a right to cancel digital content (such as the EU or UK), by confirming you expressly consent to immediate delivery and acknowledge that you lose that right on Delivery.
  • 8.3 No refunds after Delivery, including for change of mind, for not liking the Character or the results, for Similar Faces (section 4.2), for platform restrictions on your accounts, for results of your own use, or for termination under section 10, except: non-delivery, where if a paid item is not delivered within 72 hours we will deliver it or, if we cannot, refund it; a material defect, where if a Delivered Asset is corrupted or materially different from its Shop listing in a way that is our fault, and you tell us within 7 days of Delivery, we will, at our choice, re-deliver it, fix it, give you Studio credits of equal value, or refund it; mistaken or unauthorised purchases, as the Refund & Cancellation Policy describes; and where the law requires a refund.
  • 8.4 Effect of a refund. If a purchase is refunded for any reason, the licence to that item ends, we may remove the item and Delivered Assets from your account, and you must stop using the Character and take down content featuring her. An Exclusive AI Model that is refunded is not sold again (section 4.1). For Packs, shots not yet generated stop; your licence to the Pack's shots ends.

9. Chargebacks and Payment Disputes

9.1 Please contact support@gncy.ai before disputing a payment. We can usually fix problems faster than a bank.

9.2 If you open a chargeback or payment dispute for a Shop purchase

  • we may suspend the item, the Delivered Assets and your account while the dispute is open;
  • we may respond to and contest the dispute, including by sharing records of your purchase, Delivery, acceptance of these Shop Terms and use;
  • if the payment is reversed, your licence ends under section 10, the item is removed, you must take down content featuring the Character, and the Character is not sold again;
  • if a dispute is found to be unfounded or abusive, we may close your account and, to the extent the law allows, recover our dispute fees and costs from you.

10. Ending Your Licence

10.1 We may end your licence

to a Character, Pack or Delivered Assets immediately, by notice in Studio or by email, if:

  • you break sections 5 or 6, or the Terms of Service;
  • your payment is refunded or reversed, or you open a chargeback that is not resolved in our favour;
  • we receive a credible claim that a Character or content infringes someone's rights or depicts a real person (section 11), and we decide removal is the safest course;
  • the law or a court, regulator or payment provider requires it.

10.2 No refund

is due when the licence ends under section 10.1, except where section 11.3 or the law says otherwise.

10.3 When the licence ends

you must stop using the Character and the Delivered Assets, and within 7 days remove posts, profiles and content featuring the Character that you control, and confirm this to us if we ask. Sections 3.2, 4.2, 4.3, 5, 9, 12, 13, 14, 15 and 16 survive.

10.4 Deleting your account

If you delete your Studio account, your AI models (including purchased Characters) and Delivered Assets are deleted, as the Terms of Service describe. Deletion ends your licence without a refund, and an Exclusive AI Model is not sold again or restored.

11. Takedowns and Real-Person Claims

  • 11.1 Characters are fully synthetic and are checked before sale. If anyone tells us a Character or content made with one looks like a real person, uses their likeness, or infringes their rights, we handle it under our takedown process (the takedown form). We review every request and remove content covered by a valid request within 48 hours of receiving it.
  • 11.2 To resolve a claim, we may require you to remove or edit specific content, or stop using the Character, and you agree to cooperate promptly.
  • 11.3 If we end your licence to an Exclusive AI Model only because of a valid claim that she depicts a real person, and you have not broken these Shop Terms, your only remedy is, at our choice, a replacement Exclusive AI Model of similar listed price, Studio credits, or a pro-rated refund of the price you paid.

12. Disclaimers

  • 12.1 Shop items are provided "as is" and "as available". To the maximum extent the law allows, AIGNCY disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, title (beyond the licence in section 3) and non-infringement.
  • 12.2 No results promised. AIGNCY does not promise or guarantee any followers, views, engagement, income, sales, brand deals, virality or other results from a Character, Pack, Launch Kit or Your Content. Any examples, numbers or descriptions in the Shop or our marketing are illustrations, not promises.
  • 12.3 Platforms. AIGNCY does not control any social platform. Platforms may restrict, label, demonetise, suspend or ban AI-generated accounts or content at any time. That is not our responsibility and not a reason for a refund.
  • 12.4 AI output. AI-generated content varies, may contain errors or artifacts, and a Character's likeness can vary between results.

13. Limitation of Liability

To the maximum extent the law allows:

  • AIGNCY is not liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, followers, accounts, data, goodwill or business opportunities, arising from the Shop, a Character, Delivered Assets or Your Content, even if we were told they were possible;
  • AIGNCY's total liability for all claims about a Shop item is limited to the amount you actually paid AIGNCY for that item, and for all Shop claims together to the amount you paid for Shop items in the 12 months before the claim;
  • these limits apply whatever the legal theory (contract, tort including negligence, statute or otherwise), and even if a limited remedy fails of its essential purpose.

Nothing in these Shop Terms limits liability that the law does not allow to be limited.

14. Your Indemnity

You will defend, indemnify and hold harmless AIGNCY, LLC and its owners, officers, employees, contractors and agents from and against all claims, losses, damages, liabilities, penalties, fines, costs and expenses (including reasonable legal fees) arising from or related to: your use of a Character, Delivered Assets or Your Content; your posts, accounts and business; your breach of these Shop Terms, the Terms of Service or any law or platform rule; any claim that your content misled, defamed, harassed or harmed anyone; and any dispute between you and a third party. We may take control of the defence of any claim at your expense, and you will cooperate.

15. Eligibility

You must be at least 18 years old and able to form a binding contract to buy in the Shop. You confirm this at checkout. You must not buy if the law where you live prohibits the purchase.

16. Disputes, Changes and General Terms

  • 16.1 Governing law and disputes. These Shop Terms are governed by the laws of the State of Florida, USA, and disputes are resolved as set out in the Terms of Service, including binding arbitration in Pinellas County, Florida, and the class-action waiver.
  • 16.2 Changes. We may update these Shop Terms. The version you accepted at checkout applies to that purchase, except that changes required by law, or changes to sections 5 and 11 needed for safety or to comply with platform or payment-provider rules, apply to existing licences 30 days after we notify you.
  • 16.3 Records. We keep a record of your acceptance of these Shop Terms (the version, date and time, and the purchase) and of Delivery, and may use them in any dispute.
  • 16.4 Entire agreement; severability; no waiver; assignment. These Shop Terms and the Terms of Service are the entire agreement about Shop purchases. If any part is unenforceable, the rest stays in effect and the unenforceable part is limited to the minimum extent needed. Not enforcing a right is not a waiver of it. You may not assign these Shop Terms; we may assign them to an affiliate or successor.
